Partner Programme Terms | Giveawayz

1. About these terms

These terms apply to the Giveawayz Partner Programme, run by BOUNZ LTD (company no. 14283718), trading as Giveawayz (“we”, “us”). They apply to you if you are an approved partner, or a Giveawayz organiser who has joined the programme in their dashboard (“you”). For organisers, they sit alongside our Terms of Service.

2. Joining

Partners must be 18 or over, live in the UK and have a UK bank account in their own name or their business's name. We review every application and may decline one without giving a reason.
Organisers join by accepting these terms under Settings → Referrals in their dashboard.
Joining doesn't make you our employee, agent or representative. You can't make promises or agreements on our behalf.

3. How a referral counts

A referral counts when a new organiser creates their Giveawayz account using your referral link, or enters your referral code on our sign-up form.
Each organiser has one referrer, fixed when their account is created. We can't add or change a referrer afterwards.

A referral doesn't count, and may be cancelled, if:

you are referring yourself, or a business you own or control;
the same person owns 25% or more of both the referred business and a business of yours;
the referred business shares a company registration or a bank account with yours;
we were already in contact with the organiser before they signed up with your code, at our discretion; or
it was obtained in breach of these terms.

4. Rewards

For each organiser you refer, you earn:

Launched, £100: approved for card payments by Cashflows, at least one competition drawn, and £1,000 in ticket sales.
Established, £150: £10,000 in ticket sales within 6 months of launching.
Scaling, £250: £50,000 in ticket sales within 12 months of launching.

“Ticket sales” means payments for competition entries that the organiser has collected through Giveawayz, not counting refunded orders. We count them from our records, and our records decide whether a milestone has been reached.
“Launching” is the date we record the Launched milestone as reached.
Each milestone is paid once for each referred organiser. A milestone not reached within its time limit isn't paid.
You earn only from organisers you refer yourself. There are no rewards for referrals made by people you referred.

5. Holds and payment

Each reward is held for 60 days after it's earned, to allow for refunds and chargebacks.
After the hold, we pay a reward only if the referral hasn't been cancelled, you are following these terms, and the referred organiser's account is in good standing. If their account is overdue, we keep the reward until it's paid up. If their account is suspended for a breach of our terms, or closed for non-payment, the reward is cancelled.
Organisers receive rewards as credit on their Giveawayz account, which is used against future subscription and platform-fee invoices. Credit has no cash value, can't be transferred, and ends if the account closes. An organiser must have accepted the current version of these terms for a reward to be credited.
Partners receive rewards by bank transfer, in pounds sterling, to a UK account in their name, usually within 30 days of the hold ending. We may ask for information we need to pay you, and can hold a payment until we have it.
If we pay a reward that wasn't due, for example because of fraud or a breach of these terms, you must repay it, and we may deduct it from future rewards or credit.

6. How you promote Giveawayz

You must:

make clear that you earn a referral fee whenever you recommend Giveawayz, for example by labelling posts “#ad” or saying “I earn a referral fee if you sign up”;
only make claims about Giveawayz that match our website, and never promise income, approval for card payments, or that anyone's competitions are lawful;
follow the law and the advertising rules that apply to you, including the CAP Code and the UK's electronic marketing rules (the Privacy and Electronic Communications Regulations);
never send marketing emails, texts or direct messages to people who haven't agreed to receive them from you, and never buy or use contact lists;
never pretend to be Giveawayz, use our name or logo in a way that suggests you are us, or bid on “Giveawayz” or similar terms in paid search advertising; and
never offer people money or other incentives to sign up with your code unless we've agreed it in writing.

We can ask you to change or remove anything you have published about us, and you must do so promptly.

7. Tax

You are responsible for declaring your rewards and paying any tax due on them. If you are registered for VAT, tell us before your first payment and we'll ask you to invoice us. We may share information about payments with HM Revenue & Customs where the law requires it.

8. Information

We use your details to run the programme, as described in our Privacy Policy.
Organisers you refer are told, when they sign up, that their referrer will see their business name and the milestones they reach. That is all we show you. Keep it confidential, and use it only to follow up your own referrals.

9. Changes and ending

We may change these terms, or end the programme, by giving you 30 days' notice by email. Rewards earned before a change takes effect are paid under the terms that applied when they were earned.
You can leave at any time by emailing us. Rewards you have already earned are still paid, subject to section 5.
We may remove you from the programme straight away if you breach these terms, and any rewards not yet paid will be cancelled.

10. Liability

As far as the law allows, our total liability to you under these terms is limited to the rewards due to you and not yet paid. Nothing in these terms limits any liability that can't be limited by law.

11. General

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Questions about the programme: hello@giveawayz.io.
